Four documents govern Ripal: the Terms of Service and Privacy Policy for everyone, plus one agreement per side of the marketplace. Signed versions land at signup.

Merchant Agreement

1.Business verification

You will provide accurate business information and complete verification before campaigns run. The Verified Brand badge is available on completed business verification and may be removed if your information goes stale.

2.Escrow funding and release

You fund your balance before booking; the full deal price is held in escrow from booking until live verification. Escrowed funds are not refundable on a change of heart after a creator has confirmed a slot, except through the refund rules in this agreement.

3.Briefs and approvals

Your brief must be accurate, lawful, and complete before a creator accepts. You will review submitted content within the stated approval window; unreasonable withholding of approval is a disputable action.

4.Refunds and the late rule

You may claim a refund on any post that misses its confirmed slot. Refundable-listing purchases carry the extended refund rights described at checkout; the refundable surcharge itself is never refunded. All other refunds flow through the dispute process.

5.Prohibited categories and creator opt-outs

You will not commission content in prohibited categories or push work to creators who have opted out of your category. Attempting to route around opt-outs is a terminable violation.

6.Licensing, whitelisting, and exclusivity

Reusing creator content in your own ads requires the licensing add-on, whitelisting requires its add-on, and exclusivity binds only for the window you purchased. Rights end when the purchased window ends.

7.Indemnification

You indemnify Ripal against claims arising from your products, your brief, and your use of licensed content. Product liability, claims accuracy, and regulatory compliance for what you sell are yours.

8.Chargebacks and disputes

Disputes are handled on-platform first, with escrow frozen and a committed SLA on resolution. Initiating a payment-processor chargeback on a deal with a complete audit trail of delivery is treated as fraud and grounds for termination.
